Terms of Service

By accessing or using the Alkizen platform ("Platform"), including our website at alkizen.exchange, our web application, API, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the Services.

These Terms constitute a legally binding agreement between you ("User", "you", "your") and Alkizen ("we", "us", "our"). We may update these Terms from time to time, and your continued use of the Services after such changes constitutes acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes via the Platform.

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this age requirement.

Alkizen is a multi-chain payment and intelligent trading network built on top of Relay, a cross-chain infrastructure protocol. The Platform provides a user interface for the following services:

Token Swapping: Exchange any token on any supported blockchain for any other token on any supported blockchain, powered by Relay's intent-based cross-chain execution.

Cross-Chain Bridging: Transfer tokens between different blockchains seamlessly, without manual chain switching or intermediate wrapped tokens.

Dollar-Cost Averaging (DCA): Set up automated recurring token purchases at user-defined intervals (hourly, daily, weekly, or monthly) and durations. DCA orders are executed by backend scheduler workers.

Limit Orders: Place conditional orders that execute automatically when a specified price condition is met. Conditions are monitored by off-chain price oracles.

Payments: Send tokens to any address on any supported chain, with the recipient receiving their preferred token regardless of what token the sender holds.

Gamification Features: Earn points through quests, compete on the leaderboard, and participate in the referral program to earn revenue share on referred users' transactions.

The Services act as an interface layer on top of Relay's protocol. We do not operate as a centralized exchange, custodian, broker, or financial advisor. All on-chain transactions are executed through Relay's audited smart contracts and intent-based architecture.

To use the Services, you must connect a compatible cryptocurrency wallet (such as MetaMask, Coinbase Wallet, WalletConnect-compatible wallets, Phantom, or other supported wallets). Your wallet address serves as your unique identifier on the Platform.

We use Sign-In With Ethereum (SIWE) and equivalent Solana authentication methods for session management. We do not store passwords, private keys, or seed phrases. You are solely responsible for the security of your wallet, private keys, and recovery phrases.

You acknowledge that if you lose access to your wallet (e.g., lose your private key or seed phrase), we cannot recover your funds or account. We have no ability to reverse, cancel, or modify transactions that have been submitted to the blockchain.

You may connect multiple wallets (both EVM and Solana) simultaneously. Each connected wallet address is treated as part of the same user session for the purposes of quest tracking, referrals, and leaderboard scoring.

Alkizen charges a platform fee on each transaction executed through the Services. This fee is a percentage markup applied on top of Relay's native execution costs. The platform fee percentage is set by our administrative team and typically ranges from 0.1% to 0.5%, though it may be adjusted at our discretion.

The exact platform fee for each transaction is calculated in real-time and displayed transparently in the quote before you confirm any transaction. By confirming a transaction, you agree to pay the displayed platform fee.

In addition to the Alkizen platform fee, transactions may incur: (a) blockchain network gas fees, which are set by the underlying blockchain networks and are not controlled by Alkizen; (b) Relay protocol fees, which are set by the Relay protocol; (c) DEX swap fees, set by the decentralized exchanges through which trades are routed.

All fees are non-refundable once a transaction has been submitted to the blockchain, except in cases of transaction failure where the on-chain execution did not complete. In such cases, you may only be charged the blockchain gas fee.

If you were referred to Alkizen by another user, 10% of the platform fee generated by your transactions is allocated to your referrer as a revenue share. This does not increase your fees — it is a redistribution of the platform fee.

IMPORTANT: Trading and transacting in cryptocurrencies and digital assets involves substantial risk of loss. The value of cryptocurrencies is highly volatile and can fluctuate significantly in short periods. You should not trade or transact with funds you cannot afford to lose.

By using the Services, you acknowledge and accept the following risks:

Market Risk: Token prices may move rapidly against your position. Slippage may occur between the quoted price and the actual execution price, particularly for large orders or during periods of high volatility.

Smart Contract Risk: While Relay's smart contracts are audited, no smart contract is guaranteed to be free of vulnerabilities. Bugs, exploits, or unforeseen interactions could result in loss of funds.

Cross-Chain Risk: Cross-chain transactions involve additional complexity. While Relay's intent-based architecture minimizes bridging risks, delays, congestion, or failures on source or destination chains may impact transaction completion.

DCA & Limit Order Risk: Automated DCA executions and limit order fills depend on backend infrastructure availability and price oracle accuracy. Market conditions may change between the time an order is placed and when it executes. Executions may fail and be retried, potentially at different prices.

Regulatory Risk: The regulatory environment for cryptocurrencies is evolving. Changes in laws, regulations, or enforcement actions in your jurisdiction may affect your ability to use the Services or the value of your holdings.

Technology Risk: The Platform relies on third-party services including blockchain networks, Relay infrastructure, wallet providers, and price oracles. Outages or failures in any of these systems may temporarily prevent you from using the Services.

We do not provide investment advice, trading recommendations, or financial guidance. You are solely responsible for your trading decisions and their outcomes.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You specifically agree not to:

Use the Services in violation of any applicable local, state, national, or international law or regulation, including but not limited to anti-money laundering (AML) laws, know-your-customer (KYC) requirements, and sanctions regulations.

Use the Services to launder money, finance terrorism, or engage in any other illegal financial activity.

Use the Services from any country, region, or territory that is subject to comprehensive economic sanctions imposed by the United States, European Union, United Nations, or other relevant authority (including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).

Attempt to manipulate, exploit, or abuse the referral system, quest system, or leaderboard through fraudulent activity, wash trading, self-referrals, bot usage, or any other means.

Attempt to circumvent rate limiting, access controls, or other security measures implemented by the Platform.

Interfere with or disrupt the Services, servers, or networks connected to the Services, including by transmitting worms, viruses, or other malicious code.

Reverse engineer, decompile, or disassemble any portion of the Services, except as permitted by applicable law.

Use automated scripts, bots, or crawlers to access the Services in a manner that exceeds reasonable use, unless expressly authorized by us in writing.

We reserve the right to suspend or terminate your access to the Services at any time, without notice, for any violation of these Terms or for any other reason at our sole discretion.

The Platform, including its design, code, graphics, logos, trademarks, text, and other content (collectively, "Platform Content"), is owned by or licensed to Alkizen and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial trading purposes in accordance with these Terms. This license does not include the right to: (a) copy, modify, or distribute Platform Content; (b) use Platform Content for commercial purposes without our written consent; (c) remove or alter any proprietary notices.

The Alkizen name, logo, and all related names, logos, and slogans are trademarks of Alkizen. You may not use these trademarks without our prior written consent.

Your use of the Services is subject to our Privacy Policy, which is available at /privacy and incorporated by reference into these Terms. By using the Services, you consent to the collection, use, and processing of information as described in the Privacy Policy.

We collect minimal personal data. Since authentication is wallet-based, we do not collect names, emails, or passwords. We do collect wallet addresses, on-chain transaction data, IP addresses for rate limiting, and basic usage analytics. Please refer to the Privacy Policy for complete details.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALKIZEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(a) Your access to or use of (or inability to access or use) the Services;

(b) Any conduct or content of any third party on the Services, including any defamatory, offensive, or illegal conduct of other users;

(c) Any content obtained from the Services;

(d) Unauthorized access, use, or alteration of your transmissions or content;

(e) Loss of funds due to smart contract vulnerabilities, bridge failures, oracle inaccuracies, or blockchain network issues;

(f) Failure of DCA executions, limit order fills, or other automated operations due to infrastructure issues, market conditions, or any other cause.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE TOTAL PLATFORM FEES PAID BY YOU TO ALKIZEN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the Services will be accurate or reliable; (c) any errors in the Services will be corrected; (d) the Services will be free from viruses or other harmful components.

We do not endorse, guarantee, or assume responsibility for any token, project, or third-party service accessible through the Platform. Token listings on the Platform do not constitute an endorsement or recommendation.

You agree to indemnify, defend, and hold harmless Alkizen and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or related to:

(a) Your use of the Services;

(b) Your violation of these Terms;

(c) Your violation of any rights of another party, including intellectual property rights;

(d) Any content you submit, post, or transmit through the Services;

(e) Any tax liabilities arising from your transactions on the Platform.

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination: (a) your license to use the Services immediately ceases; (b) any pending DCA orders will be paused; (c) any open limit orders will be cancelled; (d) accrued and unclaimed referral earnings may be forfeited if termination is due to Terms violations.

Tokens held in your connected wallet are not affected by account termination, as we never have custody of your funds. However, in-platform points, badges, and leaderboard rankings may be removed.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration association in the jurisdiction where Alkizen is registered.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, collective action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Alkizen.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

You are solely responsible for determining and fulfilling your tax obligations arising from your use of the Services, including but not limited to income taxes, capital gains taxes, and any other taxes applicable to cryptocurrency transactions in your jurisdiction.

Alkizen does not provide tax advice and does not issue tax forms or statements. You should consult a qualified tax professional regarding your specific tax situation. Transaction history is available through the Platform for your record-keeping purposes.

You acknowledge that tax regulations for cryptocurrency transactions vary by jurisdiction and are subject to change. It is your responsibility to stay informed of the tax implications of your trading activity.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and may provide additional notice through the Platform (such as a banner or notification).

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services.

We encourage you to review these Terms periodically to stay informed about our terms and conditions.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Alkizen regarding the Services and supersede all prior agreements, understandings, and communications.

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, wars, terrorism, riots, government actions, internet outages, or blockchain network failures.
